    1. Acceptance of Terms

    By accessing or using ValueJig ("the Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Platform.

    2. Description of Service

    ValueJig is an educational platform that provides:

    • Self-guided business valuation tools and calculators
    • Market data and comparable transaction information
    • AI-assisted guidance on valuation concepts and methodologies

    Important Limitations:

    • ValueJig is NOT a formal business appraisal
    • ValueJig is NOT financial, legal, tax, or investment advice
    • Outputs are indicative ranges for educational purposes only

    3. Beta/Prototype Status

    The Platform is currently in beta/prototype development. You acknowledge that:

    • Features may contain errors, omissions, or bugs
    • Functionality may change without notice
    • Service availability is not guaranteed
    • Data accuracy is not warranted

    4. Intended Use

    ValueJig is designed for businesses with enterprise values between $1-$20 million. Results may be less accurate outside this range.

    Permitted Uses:

    • Personal education about business valuation
    • Understanding value drivers in your business
    • Preparing for discussions with professional advisors

    Prohibited Uses:

    • Making binding financial decisions without professional advice
    • Relying solely on outputs for buy/sell transactions
    • Using outputs as formal valuations in legal proceedings
    • Representing outputs as professional appraisals

    5. User Responsibilities

    You agree to:

    • Provide accurate information to the best of your knowledge
    • Consult qualified professionals (CPAs, business brokers, M&A advisors) before acting on any valuation-related decisions
    • Maintain the confidentiality of your account credentials
    • Not attempt to reverse-engineer, scrape, or extract proprietary data or algorithms

    6. Market Data and Comparables

    Market data is sourced from:

    • Third-party research and publications
    • Curated articles about deal activity
    • Partnership agreements with data providers
    • Publicly available market information

    Data Limitations:

    • Not all transactions in every market are represented
    • Data may contain inaccuracies from source materials
    • Proprietary transaction database is under development
    • Historical data may not predict future outcomes

    7. Intellectual Property

    All content, including but not limited to valuation methodologies, software code, AI models, reports, and branding is owned by ValueJig, LLC and protected by intellectual property laws.

    Your License: Limited, non-exclusive, non-transferable right to use the Platform for personal, educational purposes.

    8. AI Assistant (JigIQ)

    Our AI assistant is trained on proprietary valuation guides and publicly available market research.

    AI Limitations:

    • May generate incorrect or incomplete information
    • Should not be treated as professional advice
    • Responses are probabilistic, not deterministic
    • Cannot replace human expert judgment

    9. Account Terms

    Free Tier: Access to educational guides and AI assistant with limited functionality

    Paid Subscriptions:

    • Billed monthly or annually as selected
    • Automatically renew unless cancelled
    • Refunds available within 14 days of initial purchase
    • No refunds for partial billing periods

    10. User Content and Data

    By using the Platform, you grant ValueJig:

    • Right to store information you input
    • Right to use de-identified data to improve models and services
    • Right to aggregate anonymized data for market research

    11. Disclaimers and Limitations of Liability

    NO WARRANTIES: THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

    LIMITATION OF LIABILITY: ValueJig, LLC SHALL NOT BE LIABLE for any business decisions made based on Platform outputs, errors or omissions, lost profits, or indirect damages.

    MAXIMUM LIABILITY: In no event shall ValueJig's total liability exceed the amount you paid for the service in the 12 months preceding the claim.

    12. Indemnification

    You agree to indemnify and hold harmless ValueJig, LLC from any claims arising from your use or misuse of the Platform, violation of these Terms, or any financial decisions made based on Platform outputs.

    13. Modifications to Service

    We reserve the right to modify or discontinue features at any time, change pricing with 30 days notice, and update these Terms. Continued use after changes constitutes acceptance.

    14. Termination

    By You: Cancel your account at any time through account settings

    By Us: We may suspend or terminate access if you violate these Terms, engage in fraudulent activity, or use the service for unlawful purposes.

    15. Dispute Resolution

    Governing Law: Tennessee state law

    Arbitration: Disputes shall be resolved through binding arbitration in Nashville, Tennessee

    Class Action Waiver: You agree to resolve disputes individually, not as part of any class action.
